SHARED SERVICES AGREEMENT between Meridian Orchard Shared Services Ltd (Provider) and Meridian Orchard Foods Hellas S.A. (Recipient)
1.1 The Provider supplies finance, IT and HR support to the Recipient.
3.1 The Recipient pays the Provider's costs of the services plus a mark-up of 8% on those costs.
3.4 Invoices are issued monthly and are payable within 30 days of the invoice date.
5.2 The Recipient bears the commercial risk of the services it orders; the Provider is liable only for gross negligence.
9.1 This agreement runs for five years from 1 January of the first year and renews automatically.
